About the RoleThe Associate General Counsel will play a critical role in supporting Atropos Health’s legal team across a broad spectrum of matters. This position requires a versatile attorney capable of handling diverse legal challenges in a fast-paced startup environment. The role involves significant responsibility for commercial contracting while also providing essential support across key legal areas including intellectual property, employment law, regulatory compliance, and corporate governance. ResponsibilitiesCommercialDraft, review, and negotiate a wide variety of commercial agreements including customer contracts, vendor agreements, and partnership dealsDevelop and maintain contract templates and playbooks to streamline contracting processesProvide guidance on contract terms, risk assessment, and commercial deal structuresIntellectual PropertySupport IP strategy including patent prosecution, trademark registration, and copyright protectionDraft and review IP-related agreementsCollaborate with R&D teams on invention disclosures and patent strategyRegulatory ComplianceMonitor and ensure compliance with healthcare regulations, data privacy laws (HIPAA, GDPR, state privacy laws), and industry-specific requirementsDevelop compliance policies and proceduresEmploymentProvide guidance on employment law compliance including hiring, termination, and workplace policiesDraft and review employment agreements, offer letters, and severance packagesCorporate Governance & General Legal SupportAssist with corporate governance matters including board meetings and corporate resolutionsSupport financing transactions and M&A due diligenceProvide general legal counsel on business operations and strategic initiativesMaintain corporate records and legal documentation systemsMinimum QualificationsJ. D. from an accredited law schoolLicensed attorney in good standing in at least one U. S. jurisdiction2-4 years of relevant legal experience, preferably including startup/high-growth company experienceStrong background in commercial contracting and business transactionsExperience with intellectual property lawExcellent drafting, negotiation, and communication skillsAbility to work independently and manage multiple priorities in a fast-paced environmentStrong business acumen and ability to provide practical, solution-oriented legal adviceReportingThe Associate General Counsel reports directly to the General Counsel.
